Terms and Conditions of Sale 

 

Supply of Shepherd’s Huts and Related Goods

These terms and conditions (the “Terms”) govern the supply of a shepherd’s hut and any associated goods or services by Farmhouse Huts Limited (the “Seller”, “we”, “us”) to the person or business who buys them (the “Buyer”, “you”). Please read these Terms carefully before placing an order. By paying a deposit or signing an order acknowledgement you confirm that you accept these Terms.

1.  Definitions and Interpretation

1.1  “Goods” means the shepherd’s hut described in the Order Confirmation/Invoice.

1.2  “Order” means your request to purchase the Goods, “Order Confirmation/Invoice" means our written acceptance of it.

1.3  “Contract” means the contract between the Seller and the Buyer for the sale and purchase of the Goods, incorporating these Terms and the Order Confirmation/Invoice.

1.4  “Consumer” has the meaning given in the Consumer Rights Act 2015. A reference to a particular law is a reference to it as amended or re-enacted from time to time.

1.5  If there is any conflict between these Terms and the Order Confirmation/Invoice, the Order Confirmation/Invoice prevails.

2.  Basis of Contract

2.1  The Order constitutes an offer by you to purchase the Goods in accordance with these Terms. No contract comes into existence until we issue an Order Confirmation/Invoice, at which point the Contract is formed.

2.2  Any quotation we give is valid for 30 days from its date, unless stated otherwise, and does not constitute an offer capable of acceptance.

2.3  These Terms apply to the Contract to the exclusion of any other terms that you seek to impose or incorporate.

3.  The Goods and Specification

3.1  The Goods are handcrafted, bespoke items. Each shepherd’s hut is built to the specification set out in the Order Confirmation/Invoice.

3.2  As the Goods are made from natural materials such as timber, variations in colour, grain, knots and finish are inherent characteristics and are not defects. Timber is a natural product and will move, settle and weather over time.

3.3  Images, drawings, samples, dimensions and descriptions in our marketing material are illustrative only and minor variations may occur in the finished Goods.

3.4  We may make changes to the specification that are necessary to comply with applicable law or safety requirements, or that do not materially affect the nature or quality of the Goods. We will notify you of any material change and you may cancel the affected part of the Order if you reasonably object.

4.  Price and Payment

4.1  The price of the Goods is set out in the Order Confirmation/Invoice and is exclusive of VAT, Please Note that when the company reaches the VAT threshold, VAT will be added at the rate in force at the date of invoice where applicable.

4.2  Unless otherwise agreed in writing, a non-refundable deposit of £5,000.00 of the price is payable on placing the Order, with the balance payable in cleared funds before delivery.

4.3  Delivery, siting, craning, groundworks and connection of services are not included in the price unless expressly stated in the Order Confirmation/Invoice, and will be quoted separately.

4.4   If you arrange collection and delivery, we will not be liable for any damage in relation to collection, transport or delivery of goods you purchase from us if they are damaged however you will be liable for any damage caused to the collection site if any damage is caused. 

4.5  Time for payment is of the essence. If any sum is not paid when due we may suspend further work or delivery and charge interest on the overdue amount at 8% per annum above the Bank of England base rate, accruing daily.

4.6  You must pay all amounts due in full without set-off, counterclaim, deduction or withholding (except as required by law).

5.  Delivery, Siting and Installation

5.1  If agreed, we will arrange delivery of the Goods to the location agreed in the Order Confirmation/Invoice. Any dates quoted for delivery are estimates only and time of delivery is not of the essence.

5.2  You are responsible for ensuring safe, lawful and adequate vehicular access to the delivery site, a suitable and prepared base, and any permissions required to site the hut. We are not liable for delay or damage arising from inadequate access or site conditions.

5.3.  If you arrange collection and delivery, we will not be liable for any damage in relation to collection, transport or delivery of goods you purchase from us if they are damaged however you will be liable for any damage caused to the collection site if any damage is caused. 

5.4  If you fail to take delivery on the agreed date for reasons within your control, we may store the Goods and charge reasonable storage and re-delivery costs, and risk in the Goods passes to you.

5.5  It is your responsibility to obtain any planning permission, building regulations approval, licence or consent required to keep, site or use the hut. We make no representation that the Goods will comply with any such requirement in your circumstances.

6.  Risk and Title

6.1  Risk in the Goods passes to you on collection of the hut (or on the date risk passes under clause 5.4).

6.2  Title to the Goods does not pass to you until we have received payment in full of all sums due under the Contract. Until title passes you must store the Goods so they remain identifiable as our property and must not dispose of or encumber them.

7.  Your Right to Cancel (Consumers)

7.1  Where you contract as a Consumer at a distance or off our premises, you generally have a 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

7.2  Bespoke goods exception: the cancellation right does not apply to goods that are made to your specification or clearly personalised. As our shepherd’s huts are bespoke and made to order, once manufacture has begun the statutory 14-day cancellation right will not apply to that hut.

7.3  Nothing in this clause affects your other statutory rights as a Consumer, including those under the Consumer Rights Act 2015.

8.  Warranty and Consumer Rights

8.1  We warrant that on delivery the Goods will conform in all material respects with their specification and be free from material defects in materials and workmanship for a period of 12 months (the structure being covered for 5 years), subject to fair wear and tear and proper use and maintenance.

8.2  The warranty does not apply to exposed timber, paint work, cladding or non-structural component comprising any part of the hut and does not apply to defects/damage resulting from neglect, failure to carry out routine maintenance and upkeep, improper use, misuse, adverse weather, exposure to corrosive materials, fair wear and tear, accidental or wilful damage caused by a third party, or if you, or someone acting on your behalf, alters, modifies or repairs your shepherd hut without our written consent. Fair wear and tear includes natural changes/movement and weathering, such as rust and oxidation etc. to metal components and/or cosmetic or colouring changes, weathering or cracks in wooden components, some/all of which may affect your shepherd hut during the normal course of its use. 

8.3  If valid notice of a defect is given, we will at our option repair the Goods, replace the affected part, or refund the price of the affected Goods. This is your sole remedy under this warranty.

8.4  If you are a Consumer, you have statutory rights under the Consumer Rights Act 2015 (including that goods must be of satisfactory quality, fit for purpose and as described). Nothing in these Terms limits or excludes those rights.

9.  Limitation of Liability

9.1  Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

9.2  Subject to clause 9.1, we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, or any indirect or consequential loss.

9.3  Subject to clause 9.1, our total liability arising under or in connection with the Contract is limited to the price paid by you for the Goods.

9.4  This clause 9 does not apply to a Buyer dealing as a Consumer to the extent that it would restrict that Consumer’s statutory rights.

10.  Force Majeure

We are not liable for any delay or failure to perform our obligations caused by an event beyond our reasonable control, including supply shortages, extreme weather, fire, flood, strikes, transport disruption or acts of government. If such an event continues for more than 60 days, either party may terminate the affected part of the Contract on written notice.

11.  Data Protection

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018, and only as set out in our privacy notice, a copy of which is available on request.

12.  General

12.1  These Terms and the Order Confirmation/Invoice constitute the entire agreement between the parties and supersede all prior arrangements.

12.2  No variation of the Contract is effective unless agreed in writing by both parties.

12.3  If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force.

12.4  A person who is not a party to the Contract has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

13.  Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales. If you are a Consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of the part of the UK in which you live.
